Corporate management of energy project companies
Solar farms, wind projects and storage facilities are almost always held through a dedicated company, either on a standalone basis or as part of a portfolio. The value of a project also depends on the quality of that structure. A well-kept company can be financed, sold and restructured smoothly, whereas a neglected one becomes a stumbling block at the due diligence stage.

Structuring and incorporating project companies
We design the group structure (holding company, project companies, co-investment vehicles) in line with the development model, financing requirements and exit strategy. We draft articles of association, shareholders' agreements and co-development agreements, and we handle incorporation formalities.
Ongoing corporate management of SPVs
A portfolio of project companies calls for rigorous, recurring follow-up. Under an annual corporate services engagement, we handle:
- approval of the annual accounts and maintenance of shareholder decisions and corporate registers,
- changes of directors, registered office or share capital, and the related filings,
- situations where equity falls below half of the share capital,
- updates to beneficial ownership filings,
- a shared calendar of corporate deadlines, company by company.
Foreign groups thus have a single point of contact in France, reporting to them in their own language.
Selling, acquiring and financing project portfolios
We act for sellers and buyers in transactions involving individual project companies or entire portfolios, including data room preparation and legal due diligence, share purchase agreements, warranties and indemnities, conditions precedent and closing. We also assist our clients with financing transactions and equity investments.
Reorganising and simplifying group structures
Through successive acquisitions and abandoned projects, groups accumulate companies they no longer need. We carry out simplification operations, including dissolutions by universal transfer of assets and liabilities (TUP), mergers, contributions in kind and liquidations, coordinated with the timetable of any sale.
