Making your expansion a success: the example of Mexico

MOSAIK is notably active in Mexico. A foreign company wishing to set up there to carry out commercial activities on a regular basis may choose the corporate form that suits it best.

The subsidiary is a company incorporated under Mexican law, with its own legal personality, distinct from that of its shareholders or members. It therefore acts as a shield: the members' liability is limited to the amount of their capital contributions. It may take any of the forms provided for by the Mexican General Law on Commercial Companies, the most common being capital companies (the limited liability company and the corporation), which avoid the unlimited joint and several liability of partnerships.

MOSAIK assists you with the local specifics in mind:

• Mexican companies are incorporated before a notary public; the members' powers of attorney must be apostilled;
• at least two members are required as a rule (the SAS may have only one, and the limited liability company may not exceed fifty members);
• no Mexican member is required;
• the supervisory body may be a Mexican or foreign individual: a board of directors, a board of managers or a sole administrator;
• a resident visa is essential to exercise full powers of representation within the country;
• all companies are subject to corporate income tax at the same rate.
